From the outset, Spain’s response to Magyar Vagon’s public takeover offer was cautious due to concerns about Viktor Orban’s ties to Vladimir Putin’s regime. The Council of Ministers holds the power to approve or reject the bid, given Talgo’s status as a strategic asset tied to its technology. At the same time, Jinvex, a body reporting to the Economy Ministry, is drafting a non-binding report with a deadline Magyar Vagon has proposed for August 10, though delays are possible.

Recent developments suggest the state regulator must carefully weigh the financial terms before any integration proceeds. Market regulators have signaled that any counteroffer should surpass the Hungarian bid by a clear per-share premium to be acceptable. The implied valuation for Talgo sits near 620 million euros, and no deal would move forward without favorable terms for shareholders, as information available to potential investors remains limited.

Additionally, as previously reported, Pegasus — the consortium including the Trilantic fund, Abelló, and the Oriol family, Talgo’s major shareholder — has no plans to relinquish its stake unless a credible proposal addresses other shareholders, especially minority holders who together account for roughly 55 percent of the capital. The Torrente Blasco family holds about 5 percent of the stock.

CNMV’s stance: the offer must improve

Throughout the process, Spain’s national securities market regulator has been clear: any counteroffer for Talgo should exceed the Hungarian bid by a premium of five euros per share. This would place Talgo’s valuation near 620 million euros. Any integration would require a fair exchange mechanism to compensate shareholders, and Talgo can only share information with prospective investors under strict limits.

As noted by observers, Pegasus intends to avoid selling its stake unless a credible proposal addresses the remaining shareholders, many of whom are minority investors. These minority holders represent a substantial portion of the company’s capital, highlighting how sensitive the negotiations are to shareholder composition and market sentiment.
