The Ministry of Industry and Trade has proposed extending a special procedure for approving transactions with assets of foreign companies in “unfriendly” countries to alienation or pledging of intellectual property rights. This was reported by “Kommersant”.

From March 2022, this approval is required for the sale of shares, shares or real estate. Now we are talking about the transfer of rights to brands, technologies, patents and programs.

According to experts, many domestic Russian brands are still under the control of foreign companies. This carries the risk of being transferred to neighboring countries, as in the case of the Carlsberg Group.

Lawyer Alexey Sapozhnikov says that control must be strengthened to localize production, including pharmaceuticals. The expert also states that foreigners “may obtain more favorable transaction conditions due to the risk of transfer of rights to neighboring countries.”

According to Alexey Fedoryaki from Redl and Partners, the innovation will primarily affect companies that want to protect their intellectual property rights when leaving the Russian market. They will have to sell their assets at a price favorable to the Russian side.
